Overview:
We are seeking an experienced Senior Corporate Lawyer of legal practice
specialized in negotiating complex commercial agreements, as well as very familiar
with overall corporate aspects, Joint Ventures (JVs), and Mergers & Acquisitions
(M&A) matters. The ideal candidate will possess exceptional negotiation skills,
fluency in English, and a proven track record of handling intricate legal
transactions. Background in energy-related matters will be a plus. International
negotiation experience as external or in-house counsel is essential for this role.
Responsibilities:
Negotiating and Drafting Commercial Agreements:
Lead negotiations and draft a wide range of commercial agreements, including but
not limited to bauxite and alumina supply agreements, gas supply agreements,
renewable energy related agreements (PPA, SHA, Grid Connection, etc.). Ensure that
agreements align with the company's objectives while mitigating legal risks;
Contract Management:
Develop and implement best practices for contract management, including reviewing
and negotiating contracts, ensuring timely compliance with contractual
obligations, and resolving disputes arising from contractual relationships;
Joint Ventures (JVs) and M&A Transactions:
Oversee the legal aspects of Joint Ventures and M&A transactions from inception to
completion. Collaborate with internal stakeholders and external advisors to
structure transactions, conduct due diligence, draft transactional documents,
manage regulatory compliance and actively engage in post-closing M&A obligations
and overall shareholders interactions;
Managing up:
Ability to provide clear and straight to the point analysis on potential legal
issues and risk mitigation strategies to decision makers within the companys
organization;
Team Collaboration:
The candidate must be strictly aligned with the companys core values and
collaborate effectively with internal clients and stakeholders across borders and
cross functions.
Education:
Licensed to practice law in Brazil (OAB);
Post-Graduation/MBA degree from an accredited law school;
International admission to the Bar in UK or NY is a plus.
Requirements:
Proficiency in English and Portuguese (written and verbal) is mandatory;
Strong experience practicing corporate law, with a focus on negotiating complex
commercial agreements, Joint Ventures, and M&A transactions. Demonstrated
experience in energy-related matters and proven record of negotiation skills will
be highly regarded as well;
Proven experience as external or in-house counsel with a multinational corporation
or a well-known law firm, with a focus on international transactions and
cross-border legal issues;
In-depth knowledge of corporate law, civil law, Joint Ventures, M&A, and
energy-related legal matters. Familiarity with relevant regulations and industry
standards is essential;
Ability to adapt to changing business needs and navigate complex legal landscapes
in different jurisdictions.
A collaborative mindset with the ability to work effectively in a team-oriented
environment;
Exceptional drafting and negotiation skills;
Strong analytical and problem-solving abilities;
Excellent communication and interpersonal skills;
Ability to work effectively under pressure and manage multiple priorities.
